1. Acceptance of Terms
These Terms of Service (the "Terms") govern your access to and use of Testewb, a platform that helps organizations plan and run coordinated bug bashes (the "Service"). By creating an account, joining an organization, or otherwise using the Service, you agree to be bound by these Terms and our Privacy Policy. If you are using the Service on behalf of a company or other legal entity, you represent that you have authority to bind that entity, and "you" refers to that entity.
2. Accounts and Organizations
- Registration. You must provide accurate information and keep it up to date.
- SSO. You may sign in via Google or supported SSO providers. You authorize us and the provider to exchange authentication information as needed.
- Organizations. Creating or joining an organization gives its admins control over membership, roles, and content created within that organization’s workspace.
- Invitations. Invited users may be onboarded via a shared link and will inherit the role specified by the inviter or org admin.
- Responsibility. You are responsible for activities under your account and for maintaining the security of your credentials.
3. Acceptable Use
Do not misuse the Service. For example, you may not:
- Violate applicable laws, infringe others’ rights, or submit unlawful content.
- Upload malicious code, attempt to probe or breach security, or interfere with the Service’s operation.
- Share access tokens or invite links in a way that bypasses intended access controls.
- Use the Service to store highly sensitive data (e.g., production secrets, cardholder data, PHI) unless we agree in writing.
4. Your Content and Reports
- Ownership. You retain ownership of content you submit (including instructions, testables, versions, findings, and attachments).
- License to Us. You grant us a worldwide, non‑exclusive license to host, process, transmit, display, and create non‑identifying aggregates from your content solely to provide and improve the Service.
- Org Access. Content within an organization is generally accessible to members according to their roles. Removing a member may limit their future access.
- Feedback. If you send ideas or suggestions, you grant us a perpetual, irrevocable license to use them without restriction or compensation.
5. Privacy and Data Processing
We process personal data as described in our Privacy Policy. We implement technical and organizational measures designed to protect your data. You agree that we may process and store data in the regions where we or our subprocessors operate. Where required, we will provide a data processing addendum (DPA) upon request for paid plans.
6. Security
We use reasonable administrative, physical, and technical safeguards (including access controls, encryption in transit, and audit logging) intended to protect the Service and your content. No system is perfectly secure; you are responsible for configuring your organization’s permissions and for safeguarding your credentials.
7. Third‑Party Services
The Service integrates with third‑party services (e.g., Google for authentication, Firebase). Your use of those services is subject to their terms. We are not responsible for third‑party services and do not control their performance or security.
8. Plans, Trials, and Billing
- Free & Trials. We may offer a free tier or trials. We may modify or discontinue free features at any time.
- Subscriptions. Paid plans are billed in advance on a subscription basis. Taxes, where applicable, are additional.
- Upgrades/Downgrades. Changing plans may prorate charges and feature access.
- Cancellation. You can cancel at the end of a billing period via the account settings. Fees already paid are non‑refundable unless required by law.
- Overages. Certain usage (e.g., storage, participants, or sessions) may be metered; we’ll disclose any overage rates in the plan details.
9. Changes to the Service or Terms
We may modify the Service, including features and limits, or update these Terms to reflect changes in law or our Service. If changes are material, we will provide reasonable notice. Your continued use after the effective date constitutes acceptance.
10. Suspension and Termination
- We may suspend or terminate access if you breach these Terms, pose a security risk, or fail to pay fees when due.
- You may export your content before termination where feasible. We have no obligation to retain content after termination, except as required by law.
11. Disclaimers
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON‑INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR‑FREE, OR SECURE.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL WE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, EVEN IF ADVISED OF THE POSSIBILITY. OUR AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE WILL NOT EXCEED THE AMOUNTS PAID BY YOU TO US FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
13. Indemnification
You will defend, indemnify, and hold us and our affiliates, officers, directors, and employees harmless from any claims, liabilities, damages, and costs (including reasonable attorneys’ fees) arising from your content, your use of the Service, or your breach of these Terms.
14. Intellectual Property
We and our licensors own all right, title, and interest in and to the Service, including software, documentation, logos, and trademarks. No rights are granted except as expressly stated in these Terms.
15. Confidential Information
If we disclose non‑public information to you that is marked or reasonably understood as confidential, you will use it only to access the Service and will protect it with at least reasonable care. This obligation does not apply to information that is public through no fault of yours, was lawfully known before receipt, or was independently developed without use of our confidential information.
16. Export Compliance
You represent that you are not located in or a resident of any country or on any list where access to the Service is prohibited by applicable export, sanctions, or embargo laws. You will comply with such laws.
17. Governing Law; Dispute Resolution
These Terms will be governed by and construed in accordance with the laws of the Republic of Ghana, without regard to its conflict of laws principles. Any disputes arising under or in connection with these Terms will be subject to the exclusive jurisdiction of the courts located in Accra, Ghana, and each party consents to the personal jurisdiction and venue of such courts. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
18. Miscellaneous
- Entire Agreement. These Terms and any referenced policies constitute the entire agreement between you and us regarding the Service.
- Severability. If any provision is unenforceable, the remainder remains in effect.
- Assignment. You may not assign these Terms without our prior written consent; we may assign to an affiliate or in connection with a merger, acquisition, or sale of assets.
- Notices. We may send notices to the email associated with your account. Legal notices to us must be sent to legal@testewb.app.
